1. Acceptance of Terms
By signing a Statement of Work, paying an invoice, or otherwise engaging our services, you agree to be bound by these Terms and the applicable Master Services Agreement.
2. Description of Services
We provide software engineering, AI automation, marketing, consulting, and related professional services as described in each Statement of Work.
3. User Accounts and Responsibilities
You are responsible for maintaining the confidentiality of any credentials shared with us and for the accuracy of information you provide.
4. Intellectual Property Rights
Upon final payment for an engagement, we transfer to you all rights, title, and interest in the deliverables created exclusively for you. Our pre-existing tools, libraries, and frameworks remain our property and are licensed to you under a perpetual, non-exclusive, royalty-free licence.
5. Payment Terms
Project engagements: 50% on signing, 50% on completion. Retainers: monthly in advance. All fees are exclusive of 18% GST where applicable. Late payments incur interest at 1.5% per month. Invoices are GST-compliant tax invoices.
6. Confidentiality and NDAs
We treat all client information as confidential. We are happy to sign your NDA or use our mutual NDA template prior to detailed discussions.
7. Limitations of Liability
To the maximum extent permitted by law, our aggregate liability under any engagement is capped at the fees actually paid by you to us in the preceding 12 months. We are not liable for indirect or consequential losses.
8. Termination
Either party may terminate a project for material breach with 15 days' written notice. Retainers may be terminated by either party with 30 days' written notice.
9. Dispute Resolution
Any dispute arising out of these Terms shall be resolved by arbitration in Bangalore under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual consent.
10. Governing Law
These Terms are governed by the laws of India, including the Companies Act, 2013 and the Information Technology Act, 2000. Courts at Bangalore have exclusive jurisdiction.
11. Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
